Acceptance of Terms

Welcome to JJR Technical Services LLC’s online platform AI Risk Radar (the “Service”). These Terms of Service (“Terms”) govern your access to and use of our website, applications, and services provided by JJR Technical Services LLC (“Company,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms and all applicable laws. If you do not agree with any part of these Terms, you must not use our Service.

Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Service. By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms and are not barred from doing so by any applicable law. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and you agree to these Terms on behalf of that organization.

User Accounts and Registration

To access certain features of the Service (such as purchasing products or posting content), you may be required to create a user account. When registering, you agree to provide accurate, current, and complete information, including your first name, a valid email address, and any other required details.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@jjrtechservices.com of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to keep your account information secure.

Paid Products and Payments

We offer certain paid products and services through the Service, including but not limited to Prompt Guides, an AI Prompting Tool (which may be offered via subscription), and courses on AI implementation (collectively, “Paid Products”). When you purchase a Paid Product, you agree to pay all applicable fees and taxes. Prices and payment terms will be clearly displayed at the time of purchase. All payments are processed through our third-party payment processors; we do not store your full payment card information. You must provide current, complete, and accurate billing information. If your payment method fails or your account is past due, we may suspend or revoke access to the Paid Products.

Refunds: All purchases of digital products (such as guides, tool access, or course enrollments) are generally final and non-refundable, except where required by law or explicitly stated otherwise for a particular product. We reserve the right to consider refund requests on a case-by-case basis at our sole discretion.

User Content and Contributions

Our Service allows users to create, post, share, and vote on content such as prompts, automations, or other materials (“User Content”). By submitting or uploading User Content on the Service, you retain any ownership rights you have in that content. However, you also grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display your User Content in connection with operating, promoting, and improving the Service. This license includes the right for us to make your shared prompts or content available to other users of the Service, who may then access and use your content as permitted by the functionality of the platform.

You represent and warrant that you have all necessary rights to submit any User Content and to grant the above license, and that your content does not infringe or violate the rights of any third party (including intellectual property, privacy, or publicity rights). You are solely responsible for the content you provide and for any consequences of sharing it.

Public Sharing: Please be aware that content you upload to publicly share (such as prompts or automations intended to be public) may be visible to others. Do not upload any content that you wish to remain private or that contains sensitive information. By posting content publicly, you allow other users to view and use your content. We are not responsible for how other users may use or misappropriate the content you share publicly.

Prohibited Content and Activities: You agree not to post, upload, transmit, or otherwise make available any content that:

• Violates any law or regulation, or promotes illegal activity;
• Infringes any intellectual property or proprietary rights of others (including copyright, trademark, patent, trade secret, or moral rights);
• Is defamatory, libelous, obscene, pornographic, invasive of privacy, hateful, or otherwise objectionable (including content that is harassing, threatening, or abusive);
• Contains any viruses, malware, worms, Trojan horses, or other harmful code or components that could damage or interfere with the Service or any system;
• Misrepresents your identity or affiliation with any person or entity, or is fraudulent, false, or misleading;
• Involves the collection of personal information from other users (e.g. for marketing) without their consent.

You also agree not to engage in any activities that interfere with or disrupt the operation of the Service (or the servers and networks used to make the Service available), including attempting to gain unauthorized access to any portion of the Service or another user’s account, or using any automated means (such as bots or scripts) to access or use the Service in a manner that sends more requests to the Service than a human can reasonably produce.

We reserve the right (but have no obligation) to pre-screen, monitor, remove, or modify any User Content that, in our sole discretion, violates these Terms or that we find unlawful, offensive, or otherwise objectionable. We may also suspend or terminate your access to the Service (or certain features) for any violation. However, the Company is not responsible for any failure or delay in removing such content and assumes no liability for content posted by you or other users.

Intellectual Property Rights

Except for your own User Content, all content and materials available on the Service, including text, graphics, logos, button icons, images, audio clips, video, software, and the compilation and arrangement thereof, are the property of JJR Technical Services LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. The “JJR Technical Services” name, logo, and all related names, product and service names, designs, and slogans are trademarks of JJR Technical Services LLC (the “Company Marks”). All rights not expressly granted to you in these Terms are reserved by the Company and its licensors.

You are granted a limited, non-transferable, non-exclusive, revocable license to access and use the Service and its content for your personal, non-commercial use, strictly in accordance with these Terms. Restrictions: You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, or transmit any of the content on our Service (excluding your own User Content) without our prior written permission, except as enabled by a share feature of our Service or permitted by law (such as fair use). If you wish to use any content from the Service beyond the allowances of these Terms or applicable law, you must obtain our prior written consent.

Feedback

If you provide us with any feedback, suggestions, ideas, or recommendations regarding the Service or our products (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable and transferable license to use, reproduce, disclose, modify, distribute, or otherwise exploit that Feedback for any purpose. This means we are free to use any ideas or suggestions you provide without compensation or credit to you, and you agree that any Feedback you offer is given voluntarily and not confidential.

Disclaimer of Warranties

Use at Your Own Risk: Your use of the Service and any content, information, or products obtained through the Service is at your sole risk. The Service and all content and products provided through it are offered on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind.

To the fullest extent permitted by applicable law, JJR Technical Services LLC expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We make no warranty that the results obtained from the use of the Service will be accurate or reliable, or that the quality of any products, services, information, or other material obtained by you through the Service will meet your expectations. We also do not make any warranty as to the accuracy, completeness, or usefulness of any information on the Service, including any User Content or third-party content.

We do not guarantee that any specific outcomes or results will be achieved from using our AI Prompting Tool, prompt guides, or courses. Any information, instructions, or suggestions provided through the Service (including in our guides or courses) are intended for general informational and educational purposes, and you use them at your own discretion and risk.

Any material downloaded or otherwise obtained through the use of the Service is accessed at your own discretion and risk, and you are solely responsible for any damage to your device or loss of data that results from the download or use of any such material.

Limitation of Liability

To the maximum extent permitted by law, in no event will JJR Technical Services LLC or its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages of any kind, or any loss of profits, revenue, business, data, goodwill, or other intangible losses, arising out of or in connection with your access to or use of (or inability to access or use) the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and even if we have been advised of the possibility of such damages.

This limitation of liability includes, but is not limited to, any damages resulting from:

• Your use of or inability to use the Service;
• Any unauthorized access to or use of our servers and/or any personal information or data stored therein;
• Any interruption or cessation of transmission to or from the Service;
• Any bugs, viruses, trojans, or the like that may be transmitted to or through our Service by any third party;
• Any errors or omissions in any content (including User Content or third-party content), and any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service.

In no event shall the total aggregate liability of JJR Technical Services LLC for all claims arising out of or relating to these Terms or the Service exceed the greater of: (a) the total amount (if any) you paid to us for Paid Products in the six (6) months immediately preceding the claim; or (b) fifty U.S. dollars (USD $50).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above disclaimers and limitations may not apply to you. In such jurisdictions, our liability will be limited to the fullest extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless JJR Technical Services LLC, its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, suits, actions, demands, disputes, allegations, investigations, or legal proceedings, and all related liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

• Your use of or access to the Service (including any data or content transmitted or received by you);
• Your violation of these Terms or any policy referenced herein;
• Your violation of any applicable law, rule, or regulation or the rights of any third party;
• Any claim that any of your User Content (or the submission, use, or provision of such content) infringes, misappropriates, or violates any third party’s intellectual property, privacy, publicity, or other rights;
• Any act of fraud, negligence, or willful misconduct by you.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate with our defense of that claim and you shall not settle any such matter without our prior written consent. Your duty to indemnify and defend us survives the termination of these Terms and your use of the Service.

Termination

We may terminate or suspend your account and/or your access to all or part of the Service, at our sole discretion, immediately and without prior notice, if you violate these Terms or any other rules or policies referenced herein, or if we suspect fraudulent, abusive, or illegal activity. We shall not be liable to you or any third party for any termination of your access to the Service. Upon termination, your right to use the Service will immediately cease, and any licenses granted to you in these Terms will immediately terminate.

You are free to stop using the Service at any time. If you wish to delete your account, you may do so through the account settings (if available) or by contacting us at support@jjrtechservices.com. Please note that removing or uninstalling our app (if any) or ceasing to use the Service will not automatically delete your account or the personal data we hold; you will need to specifically request deletion. Even after your account is terminated (by you or by us), certain portions of your User Content or data may remain visible to others (for example, content you have posted or shared with others may remain visible, and other users may have copied or saved that content). We may also retain certain information to the extent necessary to comply with legal obligations, resolve disputes, or enforce our agreements.

Changes to the Terms

We reserve the right to modify, update, or replace these Terms at any time. If we make material changes to the Terms, we will make reasonable efforts to notify you, such as by posting a notice on our website or sending an email to the address associated with your account. We will also update the “Last updated” date at the top of these Terms. Any modifications will be effective immediately upon posting (or as otherwise indicated at the time of posting). It is your responsibility to review these Terms periodically for changes. Your continued use of the Service after updated Terms have been posted constitutes your acceptance of the revised Terms. If you do not agree to any amended Terms, you must discontinue use of the Service.

Governing Law and Dispute Resolution

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or related to these Terms or the use of the Service will be governed by and construed in accordance with the laws of the State of South Carolina, USA, and the federal laws of the United States applicable therein, without giving effect to any conflict of law principles that may provide for the application of the law of another jurisdiction.

You agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in the State of South Carolina. You consent to the exclusive jurisdiction of and venue in such courts and waive any objection as to inconvenient forum. Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of our intellectual property or other proprietary rights.

If you are accessing or using the Service outside of the United States, you do so on your own initiative and are responsible for compliance with local laws. We make no representations that the Service is appropriate or available for use in locations outside the U.S., and accessing the Service from territories where its content or operations are illegal is prohibited.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect. The invalidity or unenforceability of any provision shall not affect any other provision of these Terms.

No Waiver

No waiver by JJR Technical Services LLC of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Likewise, our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing to be effective.
